END USER LICENSE AGREEMENT (EULA)

This End User License Agreement (“Agreement”) is a legal agreement between you (“User,” “you,” or “your”) and Drop Industries, LLC (“Drop,” “we,” “our,” or “us”) governing your use of the Drop Band mobile application (“App”) and its associated features, including messaging, payment management, and health tracking, when used in conjunction with a Drop Band wearable device.

PLEASE READ THIS AGREEMENT CAREFULLY. By downloading, installing, or using the App, you agree to be bound by the terms of this Agreement. If you do not agree, do not use the App.

 

 

1. LICENSE GRANT

Subject to your compliance with this Agreement, Drop grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on a compatible mobile device solely for your personal, non-commercial use.

 

 

2. USER OBLIGATIONS AND RESTRICTIONS

You agree that you will not:

  • Reverse engineer, decompile, or disassemble the App;

  • Use the App for any unlawful purpose or in violation of any applicable laws or regulations;

  • Use the App in a manner that interferes with, disrupts, or harms other users or our infrastructure;

  • Access or use the App to collect any market research or competitive information;

  • Sell, rent, lease, sublicense, or otherwise transfer any part of the App to a third party.

 

 

3. ACCOUNT REGISTRATION

Use of the App may require an account. You agree to provide accurate, complete, and updated registration information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

 

 

4. MESSAGING FEATURE

The App allows users to send and receive messages through the Drop platform. You agree not to send spam, abuse, or unlawful content. We reserve the right to remove content or restrict messaging privileges at our sole discretion.

 

 

5. PAYMENTS AND FINANCIAL SERVICES

The App may allow you to store, send, and receive money using your Drop Band. These services may be provided in part by third-party financial institutions. By using payment features, you agree to any additional terms provided by these institutions and consent to the sharing of your data with them as necessary. Drop is not a bank and does not hold or insure funds.

 

 

6. HEALTH METRICS

The App may collect and display certain health-related metrics (e.g., steps, heart rate) from your Drop Band. This data is intended for general wellness purposes only and is not intended to diagnose, treat, or monitor any medical condition. Always consult a healthcare professional for medical advice.

 

 

7. DATA PRIVACY

Your privacy is important to us. Our Privacy Policy describes how we collect, use, and share your information. By using the App, you consent to our data practices.

 

 

8. OWNERSHIP AND INTELLECTUAL PROPERTY

The App and all related intellectual property are owned or licensed by Drop Industries, LLC. This Agreement does not grant you any ownership rights in the App or its content.

 

 

9. TERMINATION

We may terminate or suspend your license at any time, with or without notice, for conduct that we believe violates this Agreement or is harmful to us or other users. Upon termination, you must delete all copies of the App.

 

 

10. DISCLAIMER OF WARRANTIES

The App is provided “AS IS” and “AS AVAILABLE.” Drop makes no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

 

 

11. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Drop shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data or profits, arising from your use of the App.

 

 

12. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws principles.

 

 

13. MODIFICATIONS

We reserve the right to modify this Agreement at any time. If we make changes, we will notify you by revising the “Last Updated” date. Continued use of the App constitutes your acceptance of the updated terms.
